This RareEarth Wellness Seller Program Agreement (“Agreement”) is between RareEarth Wellness (“Company”) and the individual registering as a seller (“Seller”, “you”). By purchasing your starter inventory, activating your seller account, or using any official RareEarth seller materials, you confirm that you have read, understood, and agreed to all terms of this Agreement.

This Agreement becomes effective on the date your starter inventory purchase is confirmed by RareEarth.

• You are an independent seller/reseller and are NOT an employee, franchisee, partner, stockist, distributor, agent, medical advisor, or legal representative of RareEarth Wellness.
• You have no authority to make commitments on behalf of RareEarth, modify official product information, create binding agreements with third parties in RareEarth’s name, or represent yourself as an official spokesperson.
• RareEarth does not direct, supervise, or control how you conduct your daily business activities beyond ensuring compliance with this Agreement.

• You must be at least 18 years old and legally permitted to enter into commercial agreements in India.
• You must provide true, accurate, and complete registration information including valid identity, contact, and payment/bank details.
• A minimum starter inventory purchase of ₹3,000 or more is required to participate. This inventory is for your personal resale and is subject to RareEarth’s standard product and return policies.
• RareEarth may approve, pause, or remove seller access at its discretion to protect program quality, compliance, or integrity.

• You purchase RareEarth products at a seller price and resell them to customers at the official customer-facing price.
• Your earnings are the resale margin (the difference between your purchase price and the price you sell to customers).
• RareEarth sets and may update official seller pricing and customer pricing. You must not sell below the official seller price unless authorized by RareEarth in writing.
• RareEarth handles all branding, product manufacturing, packaging, labelling, and website operations. You are not involved in these activities.
• You may not stock products beyond what you genuinely intend to resell, and RareEarth reserves the right to set reasonable order limits per seller.

Allowed

• WhatsApp personal messages, group chats, and broadcast lists
• Personal social media posts and stories (Instagram, Facebook) sharing official RareEarth content
• Word-of-mouth referrals and personal network sharing
• Sharing official RareEarth brochures, product images, pricing cards, and approved videos

Prohibited

• Creating websites, e-commerce stores, or landing pages to sell RareEarth products unless specifically authorized in writing by RareEarth
• Creating social media pages or handles that appear to be official RareEarth channels
• Registering domain names or usernames that include “RareEarth” or any confusingly similar variation
• Paid digital advertising (Google Ads, Facebook Ads, etc.) using RareEarth brand terms without written approval
• Spam, bulk unsolicited messaging, or any form of unlawful or intrusive marketing
• Sharing on adult, hateful, discriminatory, or politically sensitive platforms or communities

This is one of the most important rules of this Agreement. Violation may result in immediate termination.

• You must never make medical, therapeutic, diagnostic, treatment, cure, or prevention claims about any RareEarth product (e.g., “cures diabetes”, “treats cancer”, “guaranteed weight loss”, “prevents disease”).
• You must not make claims about clinical efficacy, drug interactions, or guaranteed health outcomes.
• If a customer asks for medical advice, you must direct them to consult a qualified medical professional.
• All wellness communication must remain within responsible, general wellness language consistent with FSSAI guidelines and applicable Indian advertising standards.
• You may only share product benefits as described in the official RareEarth brochures and approved content.

• You may only use official RareEarth brochures, product images, pricing cards, creatives, videos, and written content provided by RareEarth for seller use.
• You must not modify, edit, crop, alter, or reformat official RareEarth content, labels, or branding materials in any way.
• You must not repackage, relabel, or tamper with products in any manner.
• You must not create fake offers, unauthorized discounts, fabricated scarcity messages (“only 2 left!”), or fake testimonials.
• You must not use third-party images, celebrity endorsements, or unofficial health claims in connection with RareEarth products.
• RareEarth retains full and exclusive ownership of all trademarks, branding, product identity, brochures, content, and intellectual property.

You must not, at any time:

• Represent yourself as an employee, official representative, franchise owner, or authorized business partner of RareEarth
• Claim export/import availability, international distribution rights, or certifications (e.g., FDA, ISO) unless officially communicated by RareEarth in writing
• Misrepresent product ingredients, sourcing, origin, pricing, shipping timelines, or return policies
• Make income guarantee claims to recruit other sellers (e.g., “earn ₹50,000/month guaranteed”)
• Offer fake guarantees, fabricated results, or misleading before/after claims
• Collect payments from customers on behalf of RareEarth or issue receipts/invoices on RareEarth’s behalf

• You must sell products at or above the official customer-facing price set by RareEarth, unless RareEarth provides written authorization for a specific promotion or discount.
• You must not undercut official pricing to create unfair competition with other sellers or damage RareEarth’s brand positioning.
• RareEarth may revise seller pricing, customer pricing, and resale margins from time to time. Updated pricing will apply from the date communicated by RareEarth.
• You may not advertise or communicate coupons, special discounts, or “exclusive deals” unless officially provided by RareEarth for that specific purpose.

• Your income from this program is entirely dependent on your own resale activity and is not guaranteed by RareEarth in any form.
• RareEarth does not promise a minimum income, minimum orders, or minimum sales volume to any Seller.
• You acknowledge that earnings vary based on your personal effort, network, communication skills, and market conditions.
• You must not represent to prospective sellers or customers that income from this program is guaranteed or certain.
• This program is not a multi-level marketing (MLM) scheme. You earn only on your own direct resale. There is no recruitment commission or downline earnings.

• When you resell products, your customer relationship is between you and your buyer for that specific transaction. RareEarth is the product manufacturer and brand owner only.
• You must maintain honest, courteous, and transparent communication with customers at all times.
• You must not collect customer payment card data, bank details, or OTPs under any circumstances.
• You must not promise shipping timelines, warranties, or after-sales services beyond what RareEarth officially provides.
• Any customer complaints about product quality should be escalated to RareEarth support promptly.

• You are solely responsible for complying with all applicable Indian tax laws, including income tax on your earnings from product resale.
• If you are required to register for GST based on your turnover, you are solely responsible for doing so and for GST compliance on your transactions.
• You must maintain your own books of accounts and records as required by applicable law.
• RareEarth may collect and report transaction data to tax authorities as required by law. Any TDS deducted by RareEarth will be communicated and documented.
• RareEarth is not responsible for any tax liability, penalties, or compliance failures on the Seller’s part.

• RareEarth reserves the right to update, modify, or revise this Agreement, seller pricing, product range, resale margins, program rules, and operational guidelines at any time.
• Changes will be communicated via WhatsApp, email, or the official RareEarth website/seller portal with reasonable advance notice where practical.
• Continuing to participate in the program after a policy update constitutes your acceptance of the revised terms.
• If you do not agree with a material policy change, you may discontinue participation and notify RareEarth accordingly.

RareEarth may immediately suspend or permanently terminate a Seller’s participation if:

• The Seller makes unauthorized medical, therapeutic, or disease-cure claims
• The Seller impersonates RareEarth or creates unauthorized RareEarth-branded channels/pages/websites
• The Seller engages in fraud, misrepresentation, or deceptive trade practices
• The Seller violates any provision of this Agreement or applicable Indian laws
• The Seller engages in activities that harm RareEarth’s brand, reputation, or legal standing
• The Seller modifies, repackages, or adulterates products

Upon termination, the Seller must immediately cease using all RareEarth materials, branding, and content, and must not represent themselves as a current RareEarth Seller.

• All RareEarth trademarks, brand names, logos, product names, brochures, creatives, videos, pricing structures, and intellectual property remain the exclusive property of RareEarth Wellness.
• You are granted a limited, non-exclusive, non-transferable license to use official RareEarth seller materials solely for the purpose of reselling products under this Agreement.
• This license does not permit you to modify, sublicense, or use RareEarth materials beyond what is explicitly permitted herein.
• Non-public program pricing, seller terms, internal materials, and operational details shared with you must be kept confidential and must not be disclosed to third parties.
• This confidentiality obligation survives the termination of this Agreement.

• RareEarth is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Seller Program.
• RareEarth does not guarantee a specific volume of sales, customer interest, earnings, or business outcomes.
• You agree to indemnify and hold harmless RareEarth, its directors, officers, and employees from any claims, liabilities, damages, penalties, or legal costs arising from your breach of this Agreement, your marketing activities, your tax non-compliance, or any misrepresentation you make to customers or third parties.
• RareEarth’s maximum aggregate liability to you under this Agreement shall not exceed the value of products purchased by you in the preceding 30 days.

• This Agreement is governed by and construed in accordance with the laws of India.
• In the event of any dispute, the parties shall first attempt to resolve it amicably through good-faith discussion within 30 days of written notice.
• If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in India, in the city where RareEarth’s registered office is situated.
• This Agreement constitutes the entire agreement between the parties with respect to the Seller Program and supersedes all prior verbal or written understandings.
