This RareEarth Wellness Curator Program Agreement (“Agreement”) is between RareEarth Wellness (“Company”) and the individual registering as a Curator (“Curator”, “you”). By registering as a RareEarth Curator, activating your Curator Hub, or using your personalized RareEarth store, you confirm that you have read, understood, and agreed to all terms of this Agreement.

• You are an independent promoter of RareEarth Wellness products. You are NOT an employee, franchisee, distributor, agent, partner, or legal representative of RareEarth Wellness.
• You have no authority to make commitments on behalf of RareEarth, modify official product information, or create binding agreements with third parties in RareEarth’s name.
• RareEarth does not direct, supervise, or control how you conduct your daily promotional activities beyond ensuring compliance with this Agreement.

• You must be at least 18 years old and legally permitted to enter into agreements in India.
• You must provide true, accurate, and complete registration information.
• A valid UPI ID is required for commission payments. You are solely responsible for providing and maintaining correct UPI details.
• RareEarth may approve or reject any application at its discretion to protect program quality and compliance.

Every approved Curator receives the following at no cost:

• A personalized online store hosted by RareEarth
• Access to the Curator Hub (sales dashboard, commission dashboard, marketing resources)
• Official marketing materials for promotional use

The Curator’s role is simple:

• Share your unique personalized store link with potential customers.
• Customers visit your store and purchase directly from RareEarth.

RareEarth handles everything after that:

• Collects payment from the customer
• Packs and ships the products
• Manages all customer service and returns
• Automatically tracks eligible commissions on your dashboard

Curators earn a fixed commission on every successful customer purchase made through their personalized RareEarth Wellness Store.

• Commission is payable only on successfully completed customer orders.
• Cancelled, refunded, fraudulent, or invalid orders are not eligible for commission.
• RareEarth Wellness may revise the Curator Commission Policy from time to time. Any changes will be communicated to Curators in advance through the Curator Hub and/or the Curator’s registered email address. Any revised commission policy will apply prospectively and will not affect commissions already earned on eligible completed orders.

• Commissions earned during a calendar month will normally be credited to your registered UPI ID by the 4th business day of the following month, excluding bank holidays.
• If additional verification is required for any payment, it may be delayed until verification is complete.
• Curators are responsible for ensuring that the UPI ID provided during registration is accurate and remains active. RareEarth is not liable for payment failures caused by incorrect or inactive UPI details.
• RareEarth may withhold commission payments if fraud, policy violations, or disputed transactions are under review.

As a Curator, you agree to:

• Share only your official RareEarth personalized store link when promoting products.
• Use only official RareEarth marketing materials — brochures, videos, recipes, product images, and content available in the Curator Hub.
• Represent RareEarth and its products honestly, transparently, and professionally at all times.
• Maintain courteous and accurate communication with customers and prospective customers.
• Promptly escalate any customer complaints or product quality concerns to RareEarth support.
• Keep your Curator Hub login credentials strictly personal and confidential.

This is one of the most important obligations in this Agreement. Violation may result in immediate termination.

• Curators must never claim that any RareEarth product diagnoses, treats, cures, or prevents any disease or medical condition (e.g., “cures diabetes”, “treats cancer”, “guaranteed weight loss”, “prevents disease”).
• You must not make claims about clinical efficacy, drug interactions, or guaranteed health outcomes.
• Customers seeking medical advice must be directed to consult a qualified healthcare professional.
• All wellness communication must remain within responsible, general wellness language consistent with FSSAI guidelines and applicable Indian advertising standards.
• You may only share product benefits as described in official RareEarth materials available in your Curator Hub.

Curators must not, at any time, engage in any of the following:

• False medical claims of any kind about RareEarth products
• False income claims (e.g., “earn ₹50,000/month guaranteed”) to recruit others
• Fake or fabricated testimonials or before/after results
• Spam, bulk unsolicited messaging, or intrusive marketing practices
• Misleading advertising, fake scarcity messages, or unauthorized discounts
• Creating fake RareEarth websites, social media pages, or handles that appear to be official RareEarth channels
• Misusing RareEarth branding — including registering domain names or usernames containing “RareEarth”
• Modifying official brochures, videos, recipes, or any RareEarth marketing material in any way
• Impersonating RareEarth or representing yourself as an official employee, spokesperson, or authorized partner
• Collecting customer payment information, bank details, or OTPs on behalf of RareEarth

RareEarth provides every approved Curator with access to the Curator Hub, which includes:

• Your personalized online store with a unique shareable link
• A sales dashboard showing real-time order activity through your store
• A commission dashboard tracking your earned and paid commissions
• Official marketing resources including brochures, videos, recipes, and product images

• Your Curator Hub login credentials are personal and must not be shared with any third party.
• RareEarth may suspend Curator Hub access if misuse, unauthorized sharing, or policy violations are detected.
• RareEarth reserves the right to update, modify, or enhance the Curator Hub features at any time.

• RareEarth Wellness retains full and exclusive ownership of its brand, logo, product names, brochures, videos, recipes, images, and all marketing materials.
• Curators receive only a limited, non-exclusive, non-transferable license to use official RareEarth materials solely for the purpose of promoting their personalized store while participating in the Curator Program.
• This license does not permit modification, sublicensing, or use of RareEarth materials beyond what is explicitly permitted herein.
• Upon termination, this license is immediately revoked and you must cease all use of RareEarth materials.

• Income from the Curator Program depends entirely on your individual effort, the number of customers who purchase through your store, and market conditions.
• RareEarth does not guarantee any specific sales volume, income amount, number of customers, or commission earnings.
• This program is not a multi-level marketing (MLM) or pyramid scheme. Curators earn commissions only on purchases made through their own personalized store. There is no recruitment commission or downline earnings.
• You must not represent to prospective Curators or customers that income from this program is guaranteed or certain.

RareEarth may immediately suspend or permanently terminate a Curator’s participation for:

• Fraud or misrepresentation of any kind
• Making unauthorized medical or disease-cure claims
• Brand misuse, including creating fake RareEarth channels or modifying official materials
• Violation of any provision of this Agreement or applicable Indian law
• Any activity that harms RareEarth’s brand, reputation, or legal standing

Upon termination:

• Access to the Curator Hub and personalized store will be revoked immediately.
• You must cease all use of RareEarth materials, branding, and content.
• Any commissions earned prior to a policy violation may be withheld at RareEarth’s discretion.

• RareEarth reserves the right to update, modify, or revise this Agreement, commission rates, product range, program rules, and operational guidelines at any time.
• Changes will be communicated via email, WhatsApp, or the Curator Hub with reasonable advance notice where practical.
• Continuing to participate in the program after a policy update constitutes your acceptance of the revised terms.
• If you do not agree with a material change, you may discontinue participation and notify RareEarth accordingly.

• You are solely responsible for complying with all applicable Indian tax laws, including income tax on commissions earned.
• If you are required to register for GST based on your turnover or applicable rules, you are solely responsible for doing so.
• RareEarth may collect and report transaction data to tax authorities as required by law. Any TDS deducted will be communicated and documented.
• RareEarth is not responsible for any tax liability, penalties, or compliance failures on the Curator’s part.

• RareEarth is not liable for any indirect, incidental, special, or consequential damages arising from your participation in the Curator Program.
• You agree to indemnify and hold harmless RareEarth, its directors, officers, and employees from any claims, liabilities, damages, or legal costs arising from your breach of this Agreement, your promotional activities, or any misrepresentation made to customers or third parties.
• RareEarth’s maximum aggregate liability to you under this Agreement shall not exceed the total commissions earned by you in the preceding 30 days.

• This Agreement is governed by and construed in accordance with the laws of India.
• In the event of any dispute, the parties shall first attempt to resolve it amicably through good-faith discussion within 30 days of written notice.
• If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in India, in the city where RareEarth’s registered office is situated.
• This Agreement constitutes the entire agreement between the parties with respect to the Curator Program and supersedes all prior verbal or written understandings.
