RareEarth Wellness – Marketing Affiliate Agreement (India)

This Marketing Affiliate Agreement (“Agreement”) is entered into between RareEarth Wellness, India (“Company”, “RareEarth”, “We”, “Us”) and the individual registering as a Marketing Affiliate (“Affiliate”, “You”).

By participating in the RareEarth Wellness Marketing Affiliate Program, You agree to be bound by the terms set out below.

1. Nature of Relationship

1.1 The Affiliate is an independent marketing affiliate and not an employee, agent, distributor, reseller, partner, or franchisee of RareEarth Wellness.
1.2 This Agreement does not create any employer–employee, partnership, or joint venture relationship.

2. Scope of Role

2.1 The Affiliate is permitted only to promote RareEarth Wellness products using marketing materials, brochures, and affiliate links officially provided by RareEarth.
2.2 The Affiliate shall not stock, resell, repackage, relabel, or modify any product.
2.3 The Affiliate shall not make any medical, therapeutic, or guaranteed health claims beyond officially provided product information.

3. Permitted Promotion Channels

3.1 Promotion is permitted via:

WhatsApp (personal messages, groups, broadcasts)
Social media platforms
Word-of-mouth and referrals

3.2 Paid advertising, domain usage, or impersonation of RareEarth branding is strictly prohibited unless explicitly approved in writing.

4. Commissions

4.1 The Affiliate shall earn commissions only on successful and completed orders tracked through approved affiliate links or mechanisms.
4.2 Commission rates, payout schedules, and minimum thresholds are determined solely by RareEarth and may be revised from time to time.
4.3 No commission shall be payable for cancelled, refunded, or fraudulent orders.

5. Taxes & Statutory Compliance (India)

5.1 The Affiliate is solely responsible for:

Income tax compliance
GST compliance (if applicable)
Any statutory reporting obligations

5.2 RareEarth may deduct tax at source (TDS) where required by law.
5.3 PAN details provided by the Affiliate must be accurate and valid.

6. Prohibited Conduct

The Affiliate shall not:

Provide false personal or PAN details
Misrepresent pricing, availability, or product benefits
Engage in misleading, abusive, or unethical marketing
Violate any applicable law or regulation

Violation may result in immediate termination.

7. Suspension & Termination

7.1 RareEarth reserves the right to suspend or terminate the Affiliate account without notice in case of:

False declarations
Misuse of brand or content
Compliance violations

7.2 Upon termination, unpaid commissions may be withheld if linked to violations.

8. Confidentiality

Any non-public information, pricing structures, internal material, or operational data shared with the Affiliate shall be treated as confidential.

9. Limitation of Liability

RareEarth shall not be liable for indirect, incidental, or consequential losses arising from participation in the affiliate program.

10. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India, and courts located in India shall have exclusive jurisdiction.

11. Acceptance

By registering as a Marketing Affiliate and/or acknowledging this Agreement, the Affiliate confirms that they have read, understood, and agreed to all terms stated above.
