International Marketing Affiliate Agreement (Non-India)

1) Purpose

This Agreement sets the terms under which you (“Marketing Affiliate”, “you”) may promote RareEarth Wellness products and earn referral commissions for eligible purchases made through your tracked links or codes.

2) Independent Contractor

You are an independent marketing affiliate and not an employee, agent, franchisee, partner, reseller, or legal representative of RareEarth. You have no authority to bind RareEarth, make commitments on our behalf, or represent that you can do so.

3) Eligibility and Onboarding

You confirm that:

  • You are at least 18 years old and legally permitted to participate in affiliate marketing in your country of residence.

  • You will provide accurate details (name, email, country, payout details) during registration.

  • RareEarth may approve, pause, or remove affiliate access at its discretion, including for compliance or fraud concerns.

4) How Tracking Works

  • Commissions are earned only when a customer purchase is correctly tracked to your affiliate link/code via RareEarth’s tracking systems (including SliceWP / WooCommerce).

  • If tracking fails due to ad blockers, cookie restrictions, incorrect links, customer device changes, or any technical issues, RareEarth may be unable to attribute the sale. RareEarth’s tracking records will be final for commission calculation.

5) Commission, Validation, and Payout

  • Commission rates and rules are defined in RareEarth’s affiliate program settings and may be updated.

  • Commissions become payable only after the order is marked completed/fulfilled and any return/refund window has passed.

  • If an order is refunded, cancelled, charged back, or found fraudulent, related commissions may be reversed.

  • Payouts are made in the manner and frequency communicated by RareEarth (e.g., monthly/weekly), subject to minimum payout thresholds, verification, and compliance checks.

  • You are responsible for providing correct payout details (bank/WISE/PayPal or other supported method as provided by RareEarth). If payout details are incorrect, payout may be delayed.

6) Taxes, Reporting, and Compliance

  • You are solely responsible for any taxes, duties, reporting, or regulatory obligations in your country related to commissions you receive.

  • RareEarth does not provide tax advice and may require you to submit documents for compliance (e.g., identification, tax forms, address proof) before payouts.

7) Marketing Rules (Strict)

You agree that you will:

  • Promote RareEarth products in a truthful and responsible manner.

  • Use only RareEarth-approved brand assets (images, brochures, product descriptions) where provided.

  • Clearly disclose that you may earn a commission (e.g., “I may earn a small commission if you purchase through my link.”) when required by local laws/platform rules.

  • Follow platform policies (WhatsApp/Instagram/Facebook/YouTube/email) and anti-spam laws.

You will NOT:

  • Make medical/therapeutic claims (e.g., “cures”, “treats”, “prevents disease”, “guaranteed weight loss”).

  • Misrepresent pricing, ingredients, origin, certifications, shipping times, or results.

  • Run misleading ads, fake reviews, impersonation, or “RareEarth official” pages/accounts.

  • Bid on RareEarth brand keywords in paid search (e.g., Google Ads) unless written permission is granted.

  • Use coupon/discount claims unless RareEarth has issued the coupon officially.

  • Use unlawful, discriminatory, hateful, or adult content to promote the products.

8) Content Usage Rights

If you create content (videos/posts/images) promoting RareEarth, you grant RareEarth a non-exclusive right to repost, share, or use that content for marketing, with credit where practical, unless you explicitly request in writing not to.

9) Customer Relationship and Support

  • Customers purchase directly from RareEarth’s website/checkout and are subject to RareEarth’s policies (shipping, returns, refunds).

  • You must not collect or store customer payment details.

  • You may share customer inquiries with RareEarth for support.

10) Prohibited Conduct and Fraud

RareEarth may withhold, reverse, or deny commissions if we reasonably suspect:

  • Self-referrals or artificial orders intended to generate commission

  • Fake leads, stolen payment methods, chargebacks, or collusion

  • Any violation of this Agreement or applicable laws/platform rules

11) Term, Suspension, and Termination

  • This Agreement begins upon your acceptance.

  • RareEarth may suspend or terminate your affiliate status at any time for violation, risk, or business reasons.

  • You may stop promoting at any time by discontinuing use of your affiliate links.

  • Sections relating to compliance, fraud, and taxes survive termination.

12) Limitation of Liability

RareEarth is not liable for indirect, incidental, special, or consequential damages arising from your participation in the affiliate program. RareEarth’s total liability shall not exceed the commissions actually paid to you in the previous 3 months.

13) Governing Law

This Agreement is governed by the laws of India, and disputes will be subject to courts at [Karnataka, India]. (If you prefer arbitration wording, we can switch this.)

14) Acceptance

By checking the box and submitting the acceptance form on this page, you confirm that you have read, understood, and agreed to this International Marketing Affiliate Agreement.
